BHW has advised the owners of Leicester‑based, Michael Smith Switchgear Group, on its sale to Swedish technology group, Lagercrantz Group AB.
Founded in 1985, Michael Smith Switchgear is a leading developer and manufacturer of bespoke low‑voltage switchgear and electrical distribution assemblies, supplying customers across the UK industrial, commercial and infrastructure sectors, including data centres. The business has built a strong reputation for technical expertise, quality and sustainability, employing more than 50 people from its Leicester base and achieving annual revenues of approximately £8 million.
BHW advised the shareholders, Sean Smith and Emily Smith, providing full legal support throughout the transaction.
The deal was led by Ed Nurse, Head of Corporate at BHW, and supported by specialists from the firm’s commercial property and employment law teams, ensuring a coordinated and efficient approach across all aspects of the sale.
The BHW team worked closely with the shareholders and their wider advisory team to manage a complex, multi‑disciplinary transaction and successfully to complete the deal within a challenging timeframe.
Sean Smith and Emily Smith commented: “BHW went above and beyond for us throughout the transaction. We are extremely grateful for the time the team invested in us and for the quality of their advice at every stage of the deal.
Ed and the wider BHW team were commercial, pragmatic and highly responsive, and played a crucial role in getting the transaction completed ahead of the new tax year. We couldn’t have asked for better support.”
The acquisition sees Michael Smith Switchgear join Lagercrantz UK’s Electrify division, providing the business with the backing of an international technology group while retaining its existing management team and operational independence.
The acquisition represents a significant milestone for Michael Smith Switchgear and marks a further strategic UK investment by Lagercrantz Group, which continues to expand its presence in specialist technology and engineering businesses across the UK.
BHW’s Ed Nurse added: “It was a pleasure to support Sean and Emily on such a significant milestone for Michael Smith Switchgear. They have been a long‑standing client of the firm, and we were proud to have delivered this transaction for Sean and Emily. Our focus throughout was on supporting the shareholders through what was a complex process and helping them achieve a successful outcome within a tight timeframe. Completing ahead of the new tax year was an important objective for our clients, and we are delighted to have helped deliver that. We wish the team every success as they move into the next phase of growth with Lagercrantz.”
