If you are a director of a UK company, you will need to rethink the company’s record-keeping before autumn this year. From 18 November 2025, major changes under the Economic Crime and Corporate Transparency Act 2023 will overhaul how UK companies manage key corporate information.

These changes are designed to streamline company record-keeping obligations and enhance transparency, but they also require careful preparation by UK companies.

What’s changing?

From 18 November 2025, companies will no longer be required to maintain the following statutory registers:

  • Register of directors.
  • Register of directors’ residential addresses.
  • Register of secretaries.
  • Register of persons with significant control (PSCs).

Instead, this information must be kept up to date and filed at Companies House, which will serve as the central register.

What about the Register of Members?

Companies must continue to maintain a register of members (shareholders), and the full name of each member must be included alongside their service address. Companies will lose the option to elect to hold this register on the central register at Companies House. Any company that has previously made this election must:

  • Create and maintain its own register of members.
  • Hold the register at its registered office or a single alternative inspection location (“SAIL”).
  • Include a statement in the register noting that the information was previously held on the central register.

What should you do now?

Although the changes are not effective until November, companies should begin to prepare by:

  • Reviewing your current statutory registers to identify which will no longer be needed.
  • Ensuring your Companies House filings are accurate and up to date.
  • Setting up or updating your internal register of members if needed.

If your company doesn’t currently maintain statutory registers, or if you’re unsure how these changes affect you, our Corporate & Commercial team is here to help. Call us on 0116 289 7000 or email info@bhwsolicitors.com for tailored advice and support.
